Terms of Service
Last updated: September 20, 2026
These Terms are between you and Trelic Technologies LLC ("Trelic," "we," or "us"). They cover our website, the Trelic trading desktop app and companion, the ordering and local-delivery platform, and related provisioning, implementation, and support services. Product-specific provisions apply only to the product you use. By accepting these Terms or using a service for which they are presented, you agree to the applicable provisions. If you act for a business, you must have authority to bind it.
1. Scope and agreements
Our Privacy Policy describes data handling. Our Refund Policy distinguishes trading subscriptions, business projects, and merchant purchases. Trading users must also accept the Risk Disclosure. Approved trading affiliates are subject to the separate Affiliate Terms.
A separately executed statement of work, order form, or service agreement controls the scope, fees, acceptance, support, ownership, and other project-specific matters it expressly addresses. If it conflicts with these Terms on those matters, that agreement controls. A draft proposal, demonstration, roadmap, or discussion does not establish agreed commercial terms or promise delivery of a feature.
2. Eligibility and authorized access
You must be at least 18 and legally able to enter an agreement to subscribe to the trading app or purchase business services. Trading users must also meet their broker's eligibility requirements and applicable trading rules. A merchant sets lawful eligibility requirements for purchases from its storefront.
Use only accounts and data you own or are authorized to access. Protect administrator access, device pairing secrets, API keys, and other credentials. Tell us promptly if you suspect unauthorized access to a Trelic service.
3. Trading app and companion
The trading app runs on your computer and connects to supported brokerage, AI, and market-data services using your accounts and permissions. Available integrations and features depend on the app version, account permissions, provider availability, and your subscription. The companion can relay authorized approvals and controls to your paired desktop; it does not replace an operating, connected desktop.
Trelic provides software, not brokerage, custody, investment advice, tax advice, or investment management. We do not guarantee returns, strategy performance, model accuracy, execution, or a particular trading outcome.
You authorize trading through individual approvals or the automated settings and standing rules you enable. You remain responsible for orders, losses, fees, and taxes, and for checking positions and open orders directly with your broker. Disabling or uninstalling Trelic does not cancel orders already accepted by your broker. Paper trading and backtests are simulations, not predictions or guarantees of live results.
Broker and AI charges are separate from Trelic fees. Your provider agreements govern those services. Do not use the app for market manipulation, unauthorized trading, or evasion of broker restrictions.
4. Ordering and local-delivery platform
The platform supplies business software for a merchant's catalog, inventory, checkout, administration, and delivery operations. Features such as notifications, customer installation, driver tools, tracking, or integrations are included only when delivered and enabled under the applicable project agreement. A prototype or planned feature is not a production service commitment.
The current provisioning approach is a separate deployment and service accounts for each company. The merchant supplies approved products, prices, options, stock counts, delivery rules, branding, contact details, and business policies. Trelic performs the agreed technical setup and may have collaborator access needed to implement or support the deployment.
The merchant is the seller of its goods and services, receives payments through its own payment-provider account, and is responsible for product descriptions, safety, allergens, licensing, taxes, lawful marketing, customer service, fulfillment, delivery, cancellations, refunds, and disputes. Trelic is not the merchant of record, payment processor, food producer, or delivery carrier merely because a merchant uses the platform.
Customers purchasing from a merchant should contact that merchant about their order and review its published terms, privacy, delivery, and refund policies. These Terms do not replace those merchant policies or limit a customer's mandatory legal rights.
Inventory displays and delivery estimates can change. Checkout reservations expire; adding an item to a cart does not reserve it. Merchants must maintain accurate stock and schedules, check payment and order status, and have procedures for outages and fulfillment errors. A refund does not necessarily return physical goods to inventory.
Where enabled, driver location, delivery photos, and notifications require appropriate notices, permissions, and access controls. The merchant must obtain any required consent. Location and arrival estimates are informational; drivers remain responsible for safe driving.
5. Implementation, ownership, and handover
Project scope, milestones, acceptance criteria, support periods, and commercial terms must be agreed in writing. You are responsible for timely content, approvals, account access, and third-party subscriptions required by that agreement. Customer-facing launch follows the agreed verification and acceptance process.
You retain rights to your content, trademarks, customer records, domains, and accounts. You authorize Trelic to use them as needed to provide the agreed services. Ownership or licensing of project deliverables is governed by the executed agreement. Access to a repository does not itself transfer rights in Trelic's pre-existing reusable software or third-party components. Open-source components retain their own licenses.
Unless separately agreed, services do not include continuous monitoring, around-the-clock support, guaranteed recovery times, or unlimited changes. Support scope and ongoing maintenance are specified in the applicable agreement.
6. Fees, trials, cancellation, and refunds
The price, billing interval, applicable taxes, trial duration, and renewal terms shown at checkout or in an executed agreement govern your purchase. Do not submit payment unless you understand those terms.
A paid trading subscription renews at the disclosed interval until cancelled. If a trial converts to a paid subscription, the conversion date and price are disclosed during enrollment. Manage cancellation through the billing portal available from your account dashboard, or contact support if you cannot access it. Cancellation stops future renewals; access ordinarily continues through the paid period. Refund requests follow the Refund Policy.
Trading beta access: trelic Beta Access is a one-time $0 registration for a software license that is free during beta testing. Checkout does not require a credit card and does not create a subscription. Beta access does not automatically convert to a paid plan. When paid plans launch, continuing with paid access requires explicitly choosing a plan and entering payment details. A beta end date has not been set; we will announce the end of free beta access before it takes effect. Beta access is not a lifetime license. Your Anthropic API usage and applicable brokerage charges remain separate.
Platform setup, development, hosting, support, and maintenance charges follow the agreed project terms; trading subscription pricing and trials do not apply to those services. Fees charged directly by Stripe, AI providers, hosting providers, brokers, or other third parties are separate.
7. License and acceptable use
Subject to these Terms and any executed agreement, Trelic grants you a limited, non-exclusive right to use the applicable service for its intended purpose. Trading licenses are for your own authorized use; platform use is for the business and deployment covered by the project agreement.
Do not resell or sublicense Trelic software without permission, misuse another person's information, interfere with security or availability, distribute unlawful content, send unsolicited messages, or violate applicable law or third-party rights. Restrictions on reverse engineering apply only to the extent permitted by law. Rights expressly granted by an open-source license are unaffected.
8. Third parties, updates, and availability
Third-party services have independent terms, charges, security practices, and availability. Their outages, account restrictions, and API changes can interrupt features. We may provide updates, including security fixes; updates may change functionality. No feature is guaranteed to remain available through a third-party provider.
Keep supported software current and retain appropriate business records and backups. A specific uptime, backup, recovery, or support commitment exists only if expressly agreed.
9. Warranties and mandatory rights
Except as expressly stated in an executed agreement and to the extent permitted by law, services are provided "as is" and "as available." We do not warrant uninterrupted or error-free operation, accuracy of AI output, profitable trading, increased sales, or timely payment or delivery.
Nothing in these Terms excludes a warranty, remedy, or consumer right that cannot lawfully be excluded.
10. Liability
To the maximum extent permitted by law, Trelic is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or trading losses arising from use of the services. Unless an executed agreement provides otherwise, Trelic's aggregate liability relating to the affected service is limited to the greater of US $50 or the amount you paid Trelic for that service in the twelve months before the claim arose. These limitations do not apply where prohibited by law.
11. Business indemnification
To the extent permitted by law, business customers agree to indemnify Trelic against third-party claims arising from their unlawful content, unauthorized use of data, merchant goods or fulfillment, or material breach of these Terms, except to the extent caused by Trelic's own wrongful conduct. This provision does not impose indemnification for Trelic's own obligations on a merchant's retail customers.
12. Suspension and termination
You may stop using a service, subject to outstanding payment and project commitments. We may suspend or terminate access for a material breach, unlawful use, nonpayment, or a security threat, subject to applicable law and any executed agreement. Where practicable, we will provide notice and an opportunity to address the issue.
Stopping a service does not itself cancel third-party accounts, brokerage orders, or merchant orders. Handover and data return for business projects follow the applicable agreement. Provisions that by their nature should survive termination continue to apply.
13. Changes and disputes
We may update these Terms and publish the revision date. For material changes, we will provide notice and obtain renewed acceptance where required. Executed project agreements are amended according to their own terms.
Florida law governs, except where mandatory law requires otherwise. Subject to those mandatory rights or an executed agreement, disputes may be brought in the state or federal courts in Florida. If a provision is unenforceable, the remaining provisions remain effective.
